Memorial Diamond Order Form

General Terms and Conditions (GTC)
of Algordanza Limited (for the Hong Kong Market)

1. Scope of Application
   01/2024
   These General Terms and Conditions apply exclusively to all business relationships between Algordanza AG and its customers in Hong Kong, in the version valid at the time of contract conclusion. The customer’s terms and conditions do not apply. The GTC, which are accessible at any time on the internet atwww.algordanza.com.hk, become part of the contract with the written order confirmation by Algordanza AG (see Section 2), and the customer acknowledges them as binding.
2. Conclusion of Contract
   The customer places a written order with Algordanza AG for the production of a memorial diamond. The contract is formed when Algordanza AG confirms the customer’s order in writing (order confirmation).
3. Prices
   All prices exclude statutory taxes, including value-added tax (VAT), as applicable in Hong Kong. The prices valid at the time of the order, as per the current price list, apply. If the customer chooses to collect the diamond at Algordanza AG’s headquarters in Switzerland, Swiss VAT will be added to the final price at the prevailing rate.
4. Payment Terms
   Upon order placement and order confirmation, the customer pays a deposit of 50% of the total price (excluding taxes), unless otherwise stated in the order confirmation. The remaining payment, including any applicable taxes (e.g., Swiss VAT for collection in Switzerland), is due before delivery or collection of the diamond. Production of the diamond begins after receipt of the deposit and the carbon source.
5. Custom Production
   Algordanza memorial diamonds are individually crafted for each customer. Variations in color, shape, size, carat weight, clarity, or quantity do not constitute defects and do not entitle the customer to complaints, price reductions, or order cancellations, as these properties cannot be controlled. The basis for business and billing is always the achieved carat weight.
6. Further Processing
   Further processing of delivered diamonds (e.g., setting into jewelry) is at the customer’s risk. Algordanza is not liable for damage occurring after handover due to further processing. We note that diamonds—both lab-grown and mined—can be damaged under specific stress or by impact with other materials.
7. Withdrawal
   Withdrawal of the order is not permitted. Paid deposits are non-refundable.
8. Delivery Time
   Delivery time indications are approximate and non-binding. A potentially longer delivery time, up to twice the stated period, is considered normal.
9. Material Return
   Unless otherwise specified in the order, all provided material is used for diamond production. Any remaining material will be interred at our cemetery.
10. Liability
    Claims for damages of any kind are excluded unless mandatory law prohibits this provision.
11. Data Protection
    Data necessary for business transactions are stored in strict compliance with the applicable provisions of the Swiss Data Protection Act and any relevant Hong Kong data protection regulations. All personal data is treated confidentially and not shared with third parties.
12. Miscellaneous
    The invalidity of individual provisions of these GTC does not affect the validity of the contract or the remaining GTC. Upon publication of an updated version of the GTC, older versions lose their validity.
13. Applicable Law and Jurisdiction
    Swiss law applies. Swiss law also applies if the customer resides in Hong Kong or delivery is made to Hong Kong. The place of jurisdiction for all claims arising from or related to contractual agreements with Algordanza AG is Chur, Switzerland.

Algordanza Limited 一般條款及條件（GTC）
適用於香港市場

1. 適用範圍
   2024年1月
   呢啲一般條款及條件（GTC）只適用於Algordanza AG同香港客戶之間嘅所有業務關係，以合約簽訂時有效嘅版本為準。客戶嘅條款及條件唔適用。GTC可以隨時喺網站www.algordanza.com.hk 查閱，喺Algordanza AG發出書面訂單確認（見第2項）後成為合約一部分，客戶承認呢啲條款對自己有約束力。
2. 合約簽訂
   客戶以書面形式向Algordanza AG下單，訂製紀念鑽石。當Algordanza AG以書面確認客戶訂單（訂單確認）後，合約正式成立。
3. 價格
   所有價格唔包括法定稅項，例如香港適用嘅增值稅（VAT）。以訂單時有效嘅價格表為準。如果客戶選擇喺瑞士Algordanza AG總部親自領取鑽石，最終價格將加收瑞士現行增值稅。
4. 付款條款
   喺下單同收到訂單確認後，客戶需支付總價格（不含稅項）50%嘅訂金，除非訂單確認書另有說明。餘款（包括適用稅項，例如喺瑞士領取時嘅瑞士增值稅）需喺交貨或領取鑽石前支付。收到訂金同碳源後，鑽石製作將開始。
5. 訂製生產
   Algordanza紀念鑽石為每位客戶獨立訂製。顏色、形狀、大小、克拉重量、淨度或數量嘅偏差唔算缺陷，客戶無權投訴、要求減價或取消訂單，因為呢啲特性無法完全控制。業務同結算嘅基礎永遠係實際達到嘅克拉重量。
6. 進一步加工
   交付後嘅鑽石進一步加工（例如鑲嵌成珠寶）由客戶自行承擔風險。Algordanza對交付後因進一步加工造成嘅損壞唔承擔責任。我哋提醒，無論係實驗室製造或開採嘅鑽石，喺特定壓力下或撞擊其他物料時都可能受損。
7. 撤銷
   訂單唔接受撤銷。已支付嘅訂金唔予退還。
8. 交貨時間
   交貨時間只係大概估計，無約束力。交貨時間可能比預期長，甚至長達指定時間嘅兩倍，屬正常範圍。
9. 材料退還
   除非訂單另有說明，所有提供嘅材料將用於鑽石製作。如有剩餘材料，將喺我哋嘅墓園安葬。
10. 責任
    除非強制性法律另有規定，任何形式嘅賠償要求一律唔受理。
11. 資料保護
    為業務處理所需嘅資料將嚴格遵守瑞士資料保護法同香港相關資料保護規例進行儲存。所有個人資料均保密處理，唔會透露畀第三方。
12. 其他
    呢啲GTC中個別條款無效唔影響合約同其他GTC條款嘅有效性。新版本GTC公佈後，舊版本即失效。
13. 適用法律同司法管轄權
    適用瑞士法律。即使客戶住喺香港或交貨到香港，亦以瑞士法律為準。所有同Algordanza AG合約協議相關或因此產生嘅索賠，司法管轄地為瑞士庫爾（Chur）。
